The North West Communication Association
Constitution and Bylaws
(revised and approved, April 2007)
Article I Name
The name of this organization shall be the NorthWest Communication Association (NWCA).
Article II Purpose
The NorthWest Communication Association shall exist to unite and promote the mutual educational interests of individuals with an interest in human communication.
Article III Membership
Membership in the NWCA shall be open to all persons, institutions, and organizations who promote the purpose of the organization.
Article IV Officers
1. The elected officers of the NWCA shall be president, first vice-president, second vice-president, secretary-treasurer, and historian.
2. The second vice-president shall succeed through the office of first vice-president to the office of president. The second vice-president shall be nominated and elected as specified in the bylaws.
3. The secretary-treasurer shall be nominated and elected as specified in the bylaws. The term of office shall be three years.
4. The historian shall be nominated and elected as specified in the bylaws. The term of office is indeterminate, but five years is considered customary.
5. The editor of the journal shall be an appointive officer of the NWCA.
6. The newsletter editor shall be an appointive officer of the NWCA.
7. The web spinner shall be an appointive officer of the NWCA.
8. The appointive officers shall be selected as specified in the bylaws.
9. The duties of the officers shall be as specified in the bylaws.
10. In the event of the incapacity of an officer or the failure of an officer to perform assigned duties, the Executive Council shall, at its discretion, select a replacement or establish a nominating and election procedure for so doing.
Article V Legislation and Administration
1. The Legislative Assembly shall be the principal policy-making body of the association.
2. The Executive Council shall be the principal administrative body of the Association and shall implement the policies specified by the Legislative Assembly.
3. The Legislative Assembly and the Executive Council shall be convened by the president at the annual convention of the NWCA.
4. The Executive Council and Legislative Assembly shall be constituted as specified in the bylaws.
Article VI Committees
1. The Legislative Assembly may establish standing and ad hoc committees for the NWCA.
2. The Executive Council or president may establish ad hoc committees.
Article VII Amendments
1. Amendments to this constitution may be initiated by the Executive Council or individual members.
2. Amendments which receive a two-thirds majority vote of the Legislative Assembly shall be submitted by mail ballot to the membership. A two-thirds majority of those returning ballots shall be required for the adoption of an amendment.
Article I Membership
1. The NWCA shall have six classes of membership: Life, Sustaining, Regular, Student, Institutional, and Library.
2. The Legislative Assembly shall determine the rights, privileges, services, and obligations of each category of membership.
Article II Finances
1. The Legislative Assembly shall determine the dues in each of the several membership classes.
2. The Executive Council shall determine all fees related to the annual convention.
3. The Executive Council shall determine all fees for publications and services not assigned for determination to the Legislative Assembly.
4. The president and secretary-treasurer, with the consent of the Executive Council, shall administer all gifts and bequests to the NWCA in accordance with a proper agreement with the donor.
Article III Meetings
1. The Association shall hold an annual convention at a time place fixed by the Executive Council following, as closely as possible, the expressed will of the Legislative Assembly.
2. The president shall call a meeting of the Legislative Assembly and the Executive Council at the time of the annual convention and may call other meetings as necessary.
3. The Legislative Assembly shall consist of all members of the Association and a quorum shall consist of twenty percent of the members registered at the convention.
4. All meetings of the NWCA and its constituent bodies shall be open.
Article IV Elections
1. Election of officers shall take place at the meeting of the Legislative Assembly held in conjunction with the annual meeting of the Association.
2. Individuals may be nominated for specific offices either through a nomination from the floor at the Legislative Assembly meeting or through the submission of nominees to the secretary-treasurer for presentation at the Legislative Assembly meeting.
3. Nominations through the submission by the secretary-treasurer require that the individual receive the support of at least two members of the Association as demonstrated by a signed petition. The secretary-treasurer must ascertain the nomineeâ€™s willingness to be elected prior to the submission of the name to the Legislative Assembly.
Article V Tenure of Office
1. Officers of the Association shall assume office on the day following the close of the annual convention held the year in which they were elected.
2. Officers of the Association shall serve for one year unless otherwise specified.
3. The secretary-treasurerâ€™s elected term shall be for a period of three years.
4. The journal editor shall serve for a period of three years.
5. The newsletter editor shall serve for a period of three years.
6. The web spinner shall serve for a period of three years.
7. The terms of other appointed officers shall be determined by the president but, in no case, may exceed the term of the president.
8. Nothing in these bylaws shall be construed as prohibiting an officer to be re-elected to the same office.
Article VI Duties of Officers
1. The president shall convene and preside over all business meetings of the Legislative Assembly and Executive Council; receive annual reports from all other officers, chairpersons of ad hoc and standing committees; implement the work of the Association, and promote public relations; chair the annual membership drive, chair the annual Human Rights Award selection committee; and represent the Association to other organizations and institutions.
2. The first vice-president shall prepare the program for the annual convention, shall oversee the preparations for the annual convention, and shall assume the duties of the president in the presidentâ€™s absence or at the presidentâ€™s request.
3. The second vice-president shall plan and coordinate the annual membersâ€™ reception; and shall perform other such duties as specified by the Executive Council.
4. The secretary-treasurer shall perform the usual duties of secretary and treasurer; maintain a policies and procedures manual; maintain the membership roll and mailing lists; administer the affairs of the Association under the direction of the president; prepare, distribute, and collect promotional materials; make timely reports on the budget and the financial status to the president, Executive Council, and Legislative Assembly, and keep a record of the transactions of the Legislative Assembly. The treasurer-secretary will initiate an audit process yearly as detailed in the Audit Process and Procedures
5. The editor of the journal shall select an editorial staff; implement editorial policies, as approved by the Executive Council, and perform the usual duties of editor. It will be the responsibility of the editor to oversee the production and distribution and make timely financial reports to the secretary-treasurer.
6. The past president shall chair the annual Student Paper Award selection committee.
7. The historian shall collect and maintain appropriate documents related to the history of the NWCA, including but not limited to copies of the journal, newsletters, and convention programs; and perform the usual duties of historian.
8. The editor of the newsletter shall edit, produce, and distribute at least two editions annually of â€œFrom All Directionsâ€ and will maintain a current mailing list for the newsletter and other organizational mailings. The newsletter editor will work with the Secretary/Treasurer and 1st Vice-President, and other members of the Executive Council as needed, to determine the content of each newsletter.
9. The web spinner will maintain and update the NWCA web site, as directed by the Executive Council.
10. All officers of the Association will undertake other duties as specified by the Executive Council.
11. All officers and chairpersons will make reports to the president prior to the annual convention.
Article VII Composition of the Executive Council
1. All officers of the NWCA shall be members of the Executive Council.
2. The immediate past president of the NWCA shall be a member of the Executive Council.
Article VIII Parliamentary Authority
The parliamentary authority of the Association shall be the latest edition of Robert’s Rules of Order, revised.
Article IX Amendments
1. Amendments to these bylaws may be initiated by the Executive Council or by any individual member.
2. Amendments shall be adopted by a two-thirds majority vote of the Legislative Assembly present and voting.
3. Amendments defeated in Legislative Assembly shall be submitted to the membership of the Association upon the receipt of a petition from twenty members and shall be adopted if approved by a majority of those voting.
It is proposed that the Constitution and Bylaws here proposed become effective upon ratification of the members. If, in the judgment of the Executive Council, certain changes cannot be effected immediately, they may be delayed as much as a year from ratification. Such a delay shall not inhibit the implementation of other provisions.
The president, with the assistance and guidance of the Executive Council, shall be responsible for formulating the necessary policies, procedures, and documents needed to facilitate the functioning of this Constitution and these Bylaws.
The secretary-treasurer may make additional minor stylistic changes with the consent of the president and the Executive Council.
